Creator Program Agreement

2 · What this is

You are joining a referral program. You share a personal referral link in content you make, and you earn recurring cash when people you refer subscribe to attiq.io Pro.

This is not a fixed fee sponsorship. There is no posting quota, no minimum spend, and no guaranteed amount of income. You are an independent contractor, not an employee, partner, agent, or spokesperson of Net Gains, Inc. You are responsible for your own taxes and your own business expenses.

3 · What attiq provides

For as long as your account is verified and in good standing:

1. A personal referral link and a creator portal that tracks clicks, subscribers, earnings, and payouts in real time.
2. 100 comp scans per month, free, so you can make content without hitting usage limits.
3. attiq.io Pro, free, for the duration of your membership.
4. Program support, including access to the leaderboard and to program updates as they ship.

Comp scans do not roll over month to month. Perks are for your own creator account and are not transferable.

4 · What you do

1. Feature attiq in public content. Post the kind of content you already make: hauls, flips, sourcing runs, value reveals.
2. Keep one public link live. Add the public link where you feature attiq to your creator portal so our team can verify it. Keep it live. If the link changes, update it in the portal so we can verify the new one.
3. Share your referral link openly in your content and bio.
4. Disclose the relationship clearly, every time. See Section 7.

There is no posting quota. Your perks stay on for as long as your verified link stays live and your account is in good standing.

5 · What you earn

Commission is recurring. You earn for as long as the person you referred stays subscribed. There is no cap on the number of referrals or on total earnings.

The rate card in your creator portal is the authoritative source of current rates. The figures shown above are the rates in effect today. We may change rates going forward on thirty (30) days written notice to the email on file. A rate change applies only to commission earned after the notice period ends. It never reduces commission already accrued.

Qualified referrals

Commission is earned only on genuine referrals: a real person who clicked your link and chose to subscribe. The following do not earn commission and may be reversed at any time:

• Self referrals, including subscriptions on accounts you control.
• Signups produced by bots, click farms, purchased traffic, or automation.
• Signups obtained by paying, incentivizing, or otherwise compensating someone to subscribe.
• Any attempt to manipulate attribution, including cookie stuffing, link cloaking that hides the destination, or falsified referral events.

attiq tracking and attribution records are the record of account for what you have earned. If you believe a referral was tracked incorrectly, tell us within sixty (60) days and we will review it in good faith.

Refunds, chargebacks, and clawbacks

If a subscription is refunded, charged back, or reversed for fraud, the commission on it is reversed. If the reversal happens after payout, the amount is deducted from your next payout. We may withhold a payout while we investigate suspected fraud, and we will tell you when we do.

6 · Payouts

• Earnings accrue in your creator portal as subscribers pay.
• You may cash out once your balance reaches $10.
• Payouts are issued to the payout method you set up in the portal. You are responsible for keeping those details accurate. We are not liable for funds sent to a payout destination you provided incorrectly.
• Taxes. If your total payments from us reach $600 in a calendar year and you are a US person, we will require a completed Form W-9 before further payout and will issue a Form 1099. Creators outside the US will be asked for the appropriate Form W-8.
• Unclaimed balances remain payable to you for twelve (12) months after your membership ends, subject to the minimum above.

7 · Disclosure

You must disclose that you earn money when people you refer subscribe. Every time. Use plain language such as "I earn a commission when you subscribe," or a clear tag such as #ad, and follow the disclosure rules that apply to your platform and your country, including the US FTC Endorsement Guides.

Disclosure must be visible without the viewer having to expand a caption, click "more," or scroll a description. When in doubt, over disclose.

Failure to disclose is a material breach of this Agreement.

8 · Honest claims about value

attiq.io shows what items have actually sold for, using real comparable sales. Present it that way. You must not:

• Promise a guaranteed price, a guaranteed profit, or that any item is worth a specific amount.
• Describe attiq output as an appraisal, an authentication, or a certified valuation. It is an estimate based on comparable sold listings.
• Fake, stage, or exaggerate your results.
• Make earnings claims about what someone can make reselling, or present your own results as typical.

Sharing your real results is welcome and encouraged. Inventing them is not.

9 · Representing the brand

• Refer to the product as attiq.io.
• Do not alter, recreate, redraw, or animate the logo. Use the assets we provide, as provided.
• Do not claim to be an employee, official spokesperson, or authorized representative of Net Gains, Inc. You may say you are a member of the attiq.io Creator Program.
• Do not register domains, social handles, or app store listings that include "attiq" or a confusingly similar name.
• Do not run paid search ads on the attiq brand name or on branded keywords without our prior written approval.
• Do not post content that is hateful, sexual, deceptive, illegal, or otherwise prohibited by the platform you post on. Keep it the kind of content you would be proud to put your name on.

We grant you a limited, revocable, non exclusive, non transferable license to use the attiq.io name and logo solely to promote attiq.io under this Agreement. That license ends when this Agreement ends.

10 · Your content

You own your content. Nothing here transfers ownership of anything you make.

You grant Net Gains, Inc. a non exclusive, worldwide, royalty free license to reshare, repost, and display content you publish featuring attiq.io, with credit to you, on attiq.io owned channels: our website, our social accounts, our app, our email, and our press and investor materials. This license covers content you publish during the term and survives termination for content published during the term.

Paid advertising is separate. We will not run your content as a paid ad, or allowlist your handle for paid social, without your separate written consent. Consent for one campaign is not consent for the next.

If you take content down, tell us and we will stop using it on our channels within ten (10) business days, other than archived copies we are required to keep.

You confirm that you have the rights to the content you publish, including music, footage, and any person appearing in it, and that our permitted use of it will not infringe anyone else rights.

11 · Confidentiality

You may get access to unreleased features, builds, roadmap, or program data. Keep it confidential and do not post about it until we announce it publicly or tell you in writing that you may. This obligation continues for two (2) years after this Agreement ends.

Your own performance numbers are yours. You may share them.

12 · Exclusivity

None. You are free to work with, promote, and earn from any other product, including competing ones. We only ask that you do not present attiq.io and a competitor as the same product, and that you do not use attiq.io footage or brand assets to promote a competitor.

13 · Term, suspension, and termination

This Agreement starts on the effective date and continues until either side ends it.

• You may leave at any time, for any reason, by telling us in writing. Perks end. Commission already accrued remains payable under Section 6.
• We may end or suspend your membership for breach of this Agreement or the Creator Guidelines, for fraudulent or manipulated referrals, or if the program is discontinued.
• We will try to reach out first. For anything other than fraud or a serious or repeated violation, we will contact you and give you a reasonable chance to fix it before we suspend or end anything.
• Fraudulent earnings are forfeited. Commission traced to referrals that violate Section 5 may be voided whether or not it has been paid.

On termination: your perks and your brand license end, your referral link stops earning, and Sections 5, 6, 10, 11, 14, and 15 survive.

14 · Disclaimers and limitation of liability

The program and the Service are provided as is. We do not guarantee any level of traffic, conversion, earnings, uptime, or attribution accuracy.

To the maximum extent permitted by law, Net Gains, Inc. is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, arising from the program. Our total liability to you for any claim under this Agreement will not exceed the total commission paid to you in the twelve months before the claim, or $100, whichever is greater.

You agree to indemnify and hold harmless Net Gains, Inc. from claims, damages, and expenses, including reasonable attorneys fees, arising from your content, your failure to disclose, your claims about value or earnings, or your breach of this Agreement.

15 · General

• Changes. We may update this Agreement. We will post the revised version here and email the address on file. Material changes take effect thirty (30) days after notice. If you do not agree, you may end your membership before then.
• Governing law and venue. This Agreement is governed by the laws of the State of Colorado, United States, without regard to conflict of law principles. You and Net Gains, Inc. agree that the state and federal courts located in Colorado have exclusive jurisdiction over any dispute arising from this Agreement, and each side consents to personal jurisdiction and venue there.
• Entire agreement. This Agreement, together with the Creator Guidelines, the Terms of Service, and the Privacy Policy, is the entire agreement between us on this subject and replaces any prior discussion.
• Assignment. You may not assign this Agreement without our written consent. We may assign it in connection with a merger, acquisition, or sale of assets.
• Severability. If any part of this Agreement is unenforceable, the rest stays in force.
